Introduction

These Terms and Conditions ("Terms") govern the use of the services provided by “ACEBIT" refers to the company "ChainHold UAB", ("Company", “we”, “us”), with its registered address at Vilnius, Labdarių g. 6A-18, LT-01120, Lithuania, registered number 306331298, including, without limitation, its owners, directors, investors, employees or other related parties, which operating under a Lithuanian Virtual Asset Service Provider (VASP) license issued by the Bank of Lithuania.

References to "you" or "your" shall mean the person authorized to access and use this site.

By using the ACEBIT platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, which are subject to change without notice. You agree to use the platform in accordance with these Terms and Conditions, applicable laws and regulations. ChainHold UAB is not responsible for any losses or damages arising from your use of the platform or any Services provided. You acknowledge that ChainHold UAB is not a bank or financial institution and does not provide investment advice or recommendations. You are solely responsible and ensuring compliance with all applicable laws and regulations in your jurisdiction. By accessing acebit.co or using our Services, you ("User") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Notice: Please read these Terms and Conditions carefully before using acebit.co. If you access and use this website, you accept and agree THAT YOU UNDERSTAND AND Confirm TO BE BOUND BY ALL THE TERMS AND AGREEMENTS INCORPORATED HEREIN.

Notice: We may update, amend, or revise these Terms and Conditions at any time and in our sole discretion. When we make changes, we will post the new Terms and Conditions on the website and update the "Last Updated" date at the beginning of the Terms and Conditions. Any modifications to the Terms and Conditions will take effect on the date they are made, and your continuing access to or use of our Services following the updates will represent your binding acceptance of the changes. If you do not agree to any updated Terms and Conditions, please do not continue to access acebit.co or use our Services.

Notice: Depending on your country of citizenship and/or residence, you may not be able to use some or all the functions of the Website and/or ACEBIT Platform.

Definitions

Company: ChainHold UAB, operating under a Lithuanian VASP license.

Services: The virtual asset services provided by the Company, including but not limited to buying, selling, exchanging cryptocurrencies.

User: Any individual or entity that uses the Company's Services.

Regulator: The Bank of Lithuania or any other relevant regulatory authority.

Virtual (digital) Assets: Digital representations of value that can be digitally traded, transferred, or used for payment, including cryptocurrencies.

AML/CFT: Anti money laundering and terrorist financing regulations, refers to the regulations and procedures designed to prevent and detect money laundering and terrorist financing activities.

KYC: Know Your Customer, refers to the process of verifying the identity and authenticity of customers to ensure compliance with AML and CFT regulations.

Account: A unique identifier assigned to a Customer for access to their account information and transaction history.

Funds: Cryptocurrency and Fiat currency

Transaction: Any activity related to the use of the Company's services, including but not limited to deposits, withdrawals and trades.

Customer Information: Any personal or financial data provided by a Customer during the registration process or otherwise collected by the Company.

Platform: Means ACEBIT ’s Platform, designated for exchange/trading of virtual (digital) assets, accessible by a registered User via the Website and/or mobile application and/or via other means, specifically created by ChainHold UAB for that purpose (if applicable).

Compliance with Regulatory Requirements

Company is committed to full compliance with the regulatory requirements imposed by the Bank of Lithuania and other relevant authorities, including but not limited to anti-money laundering (AML), Counter-Terrorist Financing (CTF) and know-your-customer (KYC) regulations, as well as any other applicable laws and regulations related to the provision of financial services, including the protection of consumers.

ChainHold UAB maintains robust policies, procedures, and controls to ensure compliance with these requirements, including appropriate measures to prevent money laundering, terrorist financing, and other illicit activities. We also conduct regular training for our employees to ensure they are aware of their roles and responsibilities and any applicable regulatory changes in complying with these requirements. We will cooperate fully with regulatory authorities and law enforcement agencies in the investigation and prosecution of any criminal activities related to Services.

User Account

In order to be able to deposit Funds, carry out Transactions or withdraw Funds through the User Account, after opening it, you must successfully complete the verification process. You are solely responsible for the data and passwords you use to access the User Account. You cannot open multiple User Accounts with the same personal data.

Deposit of Funds to the User Account

If you want to deposit Cryptocurrency to your User Account, you must make a transfer to the cryptocurrency address generated by the Platform according to the offered protocol. Once you send Cryptocurrency, you cannot reverse the transaction. When the transfer is successfully completed, the amount and name of Cryptocurrency you transferred will be visible on your User Account dashboard. Please note that ACEBIT cannot influence and is not responsible for the speed of the Cryptocurrency transfer, nor for any fees that may be charged to you for such transfer or losses related to fluctuation in the Cryptocurrency rate.

You can only deposit Cryptocurrencies that are currently supported by the ACEBIT platform. Prior to the transfer, we may ask you to confirm that you control the Wallet or the account from which you transfer Cryptocurrencies to the User Account. If the Platform stops supporting certain Cryptocurrencies, you will not be able to make transactions using such Cryptocurrency, and the Platform will allow you to withdraw it to your Wallet according to the available protocol. The above will not be applicable if it is not technically possible due to circumstances that ACEBIT cannot influence (for example, such Cryptocurrency is no longer available on the blockchain at all), and for which you assume the possible risk.

Cryptocurrencies kept in your User Account can be used exclusively for carrying out transactions through the User Account, and you entrust them to the custody of ACEBIT while you fully retain ownership of them.

You agree that all forms of Cryptocurrencies you deposit are fungible regardless of the blockchain protocol on which they are held. You acknowledge and agree that ACEBIT may hold the Cryptocurrencies deposited by you using any and all blockchain technology capabilities.

If you want to deposit Fiat currencies to your User Account, you will use one of the acceptable payment methods specified on the Platform at the time of the Transaction and in accordance with the instructions provided by the ACEBIT Platform. After the successful transfer the amount of Fiat currency will be reflected in your User Account balance. ChainHold UAB has no influence on the terms, methods and fees of third parties executing the transfer of Fiat currency, and is not responsible in any way for such transfer. Company reserves the right to impose a limit of the amount of Fiat currency to be deposited into the User Account, which, if applicable, will be displayed on the Platform. You must transfer Fiat currency exclusively using a payment instruments issued in your name.

You can use Fiat currencies, the amount of which is displayed on the balance of your User Account, exclusively for the purpose of conducting Transactions on the ACEBIT Platform through the User Account. Company cannot be held responsible for the actions or omissions as well as the bankruptcy/liquidation/sanation of the third party where Fiat currencies are held in accordance with the regulations.

ACEBIT fee for depositing Fiat currency for the purpose of carrying out transactions through the User Account will be displayed on the Platform. The User is not entitled to interest for holding Fiat currency for the purpose of carrying out transactions through the User Account. A user account with a Fiat currency balance is not subject to the provisions of the Law on Insurance of Deposits and Liabilities to Investors and accompanying national or European Union regulations.

Withdrawal of Funds

Withdrawal of Cryptocurrencies, the amount of which is shown on the User's account balance, is executed on your request exclusively to a Wallet or an account that is in your control, which You confirm by entering the same address in the Cryptocurrency withdrawal request. The withdrawal request will have to be confirmed by means of the unique code that you received from the Platform to Your email. You accept that the moment of irrevocability of the transaction is the moment of confirmation of the request for the transaction on the User Account.

Withdrawal of Fiat currencies, the amount of which is shown on the balance of the User's account, at Your request, is executed exclusively to a bank account in Your name, which You confirm by entering the bank account information in the request for withdrawing Fiat currency. ACEBIT has no influence on the terms, methods and fees of third parties executing the transfer of Fiat currency, and ACEBIT is not responsible in any way for such transfer. You accept that from the moment you confirm the order to withdraw Fiat currency, you cannot reverse the transfer. The Platform fee for withdrawing Fiat currency will be displayed on the Platform.

Cryptocurrency Exchange

You can initiate a transaction for the exchange of Cryptocurrency for Fiat currency on the ACEBIT platform, transaction for the exchange of Fiat currency for Cryptocurrency, or transaction for the exchange of Cryptocurrency for another Cryptocurrency. All transactions are subject to review and verification. ACEBIT can accept or reject the proposed transaction for any reason.

To sell Cryptocurrency:

  • Select which Cryptocurrency you are selling in the menu provided on the Platform
  • Select the Fiat currency in which you wish to receive payment as well as a payment method, name of the recipient, email address and other required information
  • Send a decided amount of Cryptocurrency to ACEBIT Wallet, within the Exchange Period indicated on the ACEBIT Platform. When you send the Cryptocurrency You agree to the offered Exchange Rate, which is fixed if we confirm the receipt of the Cryptocurrency within the Exchange period.

In case of non-fulfillment of any step of above, the transaction will be canceled after the Exchange period has expired. Once the Cryptocurrency is sent by You, the transaction cannot be canceled. All Cryptocurrencies received by ACEBIT become property of ChainHold UAB.

Upon receipt of Cryptocurrency, the Platform will indicate "coin received" and ACEBIT will pay amount of Fiat currency in accordance with the accepted Exchange Rate to the recipient’s account.

To purchase Cryptocurrency:

  • Select the Cryptocurrency you want to purchase
  • Choose the Fiat currency in which you wish to pay and the method of payment (e.g., bank transfer or credit card)
  • Enter the amount you want to exchange for Cryptocurrency, select the network/protocol, enter the Wallet address and email address, as well as other required information
  • Make the payment in Fiat currency to ACEBIT according to the instructions provided by the Platform within the Exchange period
  • Confirm the transaction. The moment You made the payment of Fiat currency to ACEBIT or at the moment You confirmed the transaction within the Exchange Period in accordance with the instructions provided by the Platform, the exchange rate is fixed.

In case of non-fulfillment of any step of above, the transaction will be canceled after the Exchange period has expired. After You confirm the transaction you will not be able to cancel it. All received Fiat currencies become property of ChainHold UAB at the moment of their receipt to its bank account.

Upon receipt of the Fiat currency, ACEBIT will send the amount of the chosen Cryptocurrency, according to the Exchange rate, to the recipient’s wallet.

To exchange one Cryptocurrency for another:

  • Select the Cryptocurrency you want to exchange to
  • Enter the Cryptocurrency and amount you want to exchange, select the network / protocol, enter the Wallet address, email, and other required information
  • Send the decided amount of Cryptocurrency to ACEBIT Wallet within the Exchange Period indicated by the Platform. Once You send the Cryptocurrency, You agree to the offered Exchange Rate, which is fixed if we confirm the receipt of the Cryptocurrency within the Exchange Period.

In case of non-fulfillment of any step, the transaction will be canceled after the Exchange period has expired. Once You send the Cryptocurrency, the transaction cannot be canceled. All Cryptocurrencies become property of ChainHold UAB at the moment of their receipt into the ACEBIT wallet. Upon receipt, we shall send the specific amount of the ordered Cryptocurrency, according to the Exchange rate, to the recipient’s Wallet.

Requirements and Access to the Service

The Services are provided exclusively to Persons of at least 18 years or older. By creating an account, the user confirms that he/she is at least 18 years old.

By creating an account, users must ensure that their use of the Services is not prohibited by the laws of their country of residence. Depending on the user’s citizenship/place of residence, there may be factors that will limit the user in the use of all or part of the Services.

The user agrees not to impersonate any other person or entity to access our Services as a user or access as any other user without that person's prior permission.

The user agrees to provide accurate, current, and complete information, and maintain and promptly update their registration information to keep it accurate, complete, and current.

Users are prohibited from creating multiple accounts. By creating the account, you agree that currently you do not have another account registered on the Platform. The Company reserves the right to suspend or terminate any user account that it suspects is duplicative or fraudulent.

ACEBIT reserves the right to permanently terminate the user’s account, regardless of the timing of such discovery in case of provision of untruthful/fraudulent information or submitting of false documents.

Verification

As part of the account registration process and ongoing compliance, users must undergo a verification process. The Company uses a combination of automated and manual methods to verify the identity of users.

Users must provide valid identification documents and accurate, complete, and up-to-date information for KYC (Know Your Customer) procedures.

If we are unable to verify your identity, you may not have access to our Services. We may reject an application to register you as a user, or cancel an existing status as a user, for any reason, in our sole discretion.

To open the User Account, deposit Funds, withdrawal Funds or initiate and complete a transaction, the user will need to provide the information below:

  • Full name
  • Physical address
  • Email address
  • Date of birth
  • Telephone number
  • A copy of an ID card, passport or other national identification document
  • Source of Funds statement
  • Politically Exposed Person statement
  • Statement on the purpose and nature of the business relationship/transaction
  • Proof of who the beneficial owners are, where applicable
  • Order form/bill or similar
  • Information for identification and verification of your Wallet or account
  • Other necessary information

All information is subject to review and verification by our independent associates. By accepting these Terms and Conditions, you hereby authorize us to, either directly or through third parties:
(i) make any inquiries we deem necessary to confirm Your identity and/or the submitted information;
(ii) request and receive any kind of report on you, your rating, or similar information which refer to you, and to take measures we deem reasonable based on the results of such inquiries and reports, including cancellation of the transaction, which shall not be considered to be the fault of ACEBIT.
We are legally obliged to keep clients` data for a period of time stipulated by applicable law and in accordance with applicable business practices.

Account Security
User Responsibility

Users themselves must set the username and password during registration. The user can also change the password at any time after completing the registration procedure. Users are responsible for maintaining the confidentiality of their account login information and for all activities that occur under their account.

Users agree to report any suspicious activity or unauthorized access to their account to the relevant authorities or support team. Users should use strong and unique passwords for all accounts and avoid reusing passwords across multiple accounts. Users can report unauthorized access or security breaches through the Company's designated contact methods, such as email or phone. The Company will not be liable for any loss or damage arising from a user's failure to comply with these obligations.

You agree to monitor your Account History to ensure any unauthorized or suspicious activity on your ACEBIT Account. You acknowledge that any Security Breach may result in unauthorized access to your ACEBIT Account by third parties and the loss or theft of any Digital Assets and/or funds held in your ACEBIT Account and any associated accounts, including your linked bank account(s) and credit card(s).

Company's Responsibility

The Company implements robust security measures, such as firewalls, encryption, and access controls, to protect user data and prevent unauthorized access. We ensure compliance with relevant regulations, such as GDPR, HIPAA, and PCI-DSS, which require certain security standards for handling sensitive data. ACEBIT provides secure authentication mechanisms, such as two-factor authentication, to ensure that only authorized individuals can access sensitive information.

ACEBIT is responsible for updating its contact e-mail address and other contact information in order to receive notices or warnings on any Security Breach. ChainHold UAB will not be liable for any loss you may suffer by disclosing your personal information to unauthorized persons or non-complying with any notices or warnings we may send to you. If you believe that an unauthorized transaction has been executed, contact us directly with transaction details at [email protected]. We consider every transaction we receive as your fully authorized transaction and we are not responsible for unauthorized use of your bank account/wallet/User account. ChainHold UAB is not liable for any damage or interruptions caused by malware. We advise you to regularly use renowned and easily accessible screening and virus prevention software. You should be aware that the email service is vulnerable to security and phishing attacks, and you should carefully review the emails.

Transaction Limits and Fees
Limits

Company may impose limits on the amount of digital assets that can be purchased, sold, or transferred. These limits may vary based on the user’s account status, verification level, and other factors. For instance, new users may be subject to lower limits until they have completed additional verification steps and have an established history of successful transactions. Additionally, users who have been identified as high-risk may be subject to stricter limits or additional requirements to ensure the security and integrity of the platform.

Company reserves the right to modify these limits at any time, without prior notice, to comply with applicable laws, regulations, or to mitigate potential risks. Users will be notified of any changes to their limits through their User Account dashboard or via email notification. It is the user's responsibility to regularly review their account information and adjust their activities accordingly to avoid any disruptions to their transactions.

Fees

Company may charge fees for purchasing, selling, and transferring digital assets. Fees will be disclosed to the user prior to completing the transaction and may vary based on the transaction type, payment method, and other factors. The fees charged by the Company are non-refundable, unless otherwise specified in these Terms or required by applicable law. The user is responsible for paying all fees and charges associated with their use of the Services, and the Company reserves the right to change its fee structure at any time upon notice to the user.

In addition to the fees charged by the Company, the user may also be subject to fees charged by their bank, credit card network, or other payment provider. The user is responsible for reviewing and understanding the fees associated with their payment method prior to initiating a transaction. The Company will provide the user with an invoice or receipt for all fees and charges associated with their use of the Services. The user is responsible for maintaining accurate and up-to-date payment information to ensure timely and successful payment of all fees and charges.

Payment Services Partners

ACEBIT uses reputed third-party payment processors to process payments between users and ACEBIT in relation to the use of our website and Services.

Taxes

Users are responsible for complying with all applicable tax laws and regulations in their jurisdictions. The Company does not provide tax advice, and it is recommended that you consult with a tax professional regarding your tax obligations.

User Responsibility for Losses

User acknowledges and agrees to be responsible for any losses incurred as a result of use of the Website or/and Services, including, but not limited to, losses arising from unauthorized access to your account, erroneous transactions, or breaches of these Terms and Conditions. ChainHold UAB reserves the right to pursue any financial losses suffered due to you filing a chargeback procedure with your bank.

Account Closure

You may close your account at any time by submitting a request to the Company via the designated contact method provided on the Company’s platform.

Upon receiving a closure request, the Company will initiate the process to close your account, subject to the completion of any pending transactions and the settlement of any outstanding balances.

Due to multiple factors involved in our assessment of the transaction and Services, we reserve the right to reject or limit any request for a requested Service or transaction for any reason without disclosing it to you, in our sole discretion. You understand that ACEBIT may (i) modify or terminate any Service or part of the Services or transaction and (ii) suspend or terminate your access to the Services at any time without special notice. ACEBIT may block the transaction, suspend, restrict, freeze the Funds or terminate the provision of Services (fully or partially) without a prior notice to you and without any liability under the following circumstances:

  • If it is so requested based on a valid court order, judgment or resolution
  • If we have a valid reason to believe that the use of your data or Service is unauthorized, illegal, inappropriate or fraudulent or related to any criminal activity (or have been used for that reason in the past)
  • If you take any action that ACEBIT considers as circumventing its controls and verification processes
  • If you breach any of the terms stated in these Terms and Conditions
  • If you engage in any activity that ACEBIT reasonably believes may damage or affect the functioning or security of the Services
  • For other applicable reasons

ChainHold UAB is restricted from providing Services to certain individuals and entities. In the event that we are obliged to block assets related to your transaction in accordance with our internal acts or other regulations, we may (i) block your activity, (ii) block and retain Funds the amount of which is displayed on the balance of your User Account or the Funds that have been sent to us, in a manner determined by the authorities, or/and take any other steps to keep protected ChainHold UAB and its contractors acting in good faith. ACEBIT will not provide Services to the users – citizens/residents/ entities of countries blacklisted by the FATF.

ACEBIT is not responsible for any loss, direct or indirect, that you may incur due to ChainHold UAB compliance with applicable laws, guidelines or instructions of any regulatory authority or other competent government body or any court order, etc. We reserve the right to disable or restrict access to the Service in certain or all markets or jurisdictions, as well as in relation to any person, in our sole discretion.

Intellectual Property

All intellectual property rights associated with the Services, encompassing the underlying software, content, and design, are exclusively owned by Chainhold UAB and safeguarded by copyright, trade dress, patent, trademark laws, and other applicable intellectual property laws and conventions.

Users are granted a limited, non-exclusive, non-transferable, and revocable license to access and utilize the Services strictly for personal, non-commercial purposes. This license does not permit any reproduction, distribution, or modification without Chainhold's prior written consent. Unauthorized use, reproduction, or distribution of any intellectual property linked to the Services is strictly prohibited and may lead to legal action and claims, including but not limited to injunctions, damages, and attorney fees.

Chainhold UAB reserves all rights not expressly granted, and any extended usage beyond the defined limits necessitates explicit permission from the company. Compliance with these terms is essential to maintain the integrity and protection of Company’s intellectual property.

Third Party Links

acebit.co, from time to time, may contain references or links to third party materials (including, but not limited to, websites) that are not under ChainHold UAB control. We provide such information and links only as a convenience to you. Such links shall not be considered as an endorsement of any such website or its content or product, and such reference does not imply our recommendation or approval in relation to the same. You accept that we are not responsible for information or content of any third-party websites.

Warranties

User agrees to use the Services in accordance with these Terms and Conditions and the applicable laws and regulations.

You warrant that you will not:

  • Copy, transfer, distribute, sell, resell, license, de-compile, reverse engineer, disassemble, modify, publish, participate in transfer or sale, create derivative works, run, display, embed in another website or otherwise use any part of the Website, in whole or in part, for commercial or non-commercial purposes, except as expressly stated herein
  • Link the Platform to any website or as part of any other work or website without our prior written permission
  • Use the Services or any device or software in any way that could disable, overload, damage, or interfere with the use of the Services
  • Use any robot, crawler or other automatic device, process or access devices for any purpose, including tracking or copying of any material on the Platform
  • Put any malicious software on the Platform
  • Attempt to access, interfere, damage in an unauthorized manner, any part of the website, server on which the Platform is stored, or any server, computer or database related to ACEBIT system
  • Conduct any prohibited activity using ACEBIT platform and Services
  • Violate copyrights, patents, trademarks or intellectual property rights of ChainHold UAB or any third party
Customer's Risk

By accepting these Terms and Conditions, you accept your knowledge that Cryptocurrencies are highly volatile in their nature and that their value depends on supply and demand and can decrease or increase very quickly and possibly even fall to zero. After confirmation of the transaction, the exchange rate may change during the transaction period and ChainHold UAB will not be held responsible for the same.

As a user, you have the responsibility to ensure that the recipient's account or Wallet belongs to your intended recipient. If we are unable to deliver a specific amount of Fiat currency or Cryptocurrency to a specific account or Wallet mentioned by you, the transaction will be suspended and ACEBIT will not be responsible for any decrease in value of the Fiat or Cryptocurrency nor the fees for the transaction.

In case of a transaction made to the incorrect address, or by using the wrong protocol, network, memo/tag, and other metadata needed for the successful receipt of the Cryptocurrency, the funds may be permanently lost, and ACEBIT will not be held liable. In exceptional cases, if it is possible to return the Cryptocurrency, ACEBIT will charge you a reasonable fee for the return.

If we terminate or decline a transaction for any reason whatsoever, we are only obliged to refund the same nominal amount we received for the canceled or rejected transaction, reduced for the costs of transaction processing and return.

ACEBIT will not be able to cancel or change any blockchain transaction transferred and confirmed by the cryptocurrency net. Please note that the transfer of Cryptocurrency may not happen instantly. After you send the Cryptocurrency to ACEBIT or ACEBIT transfers the Cryptocurrency to the recipient's wallet or Your User Account, the transfer may be confirmed only after a certain period of time.

Dispute Resolution

If you have any concerns, questions, or issues regarding the Services, please contact ACEBIT first. We value your feedback and are committed to resolving any problems you may encounter. You can reach us at [email protected] and our customer support team will respond to your inquiry as promptly as possible, but not later than 24 hours. We encourage open communication to ensure a positive experience with our Services.

All disputes are subject to the amicable resolution between the Parties by the way of negotiations promptly and on terms acceptable to both Parties.

In case of failure to settle a dispute amicably within 30 days, the dispute shall be settled in the courts of the Republic of Lithuania, which are granted exclusive jurisdiction to hear, settle and/or determine any dispute, controversy or claim (including any non-contractual dispute, controversy or claim) arising out of or in connection with the use of ACEBIT services. The competent court of the Republic of Lithuania shall be determined according to the location of ChainHold OU office.

Miscellaneous

These Terms and Conditions together with the Privacy Policy represent a legally binding agreement between you as a User and ChainHold UAB, in relation to Services and Platform provided by ACEBIT and supersedes all prior contracts, agreements, representations and warranties, both written and oral.

You may not transfer your rights and obligations under this Agreement to another person either by contract or otherwise.

Delay in exercising any rights or remedies available under these Terms and Conditions shall not constitute a waiver of such rights and shall not prevent their further exercise.

If any arbitration, court or administrative body determines that any provision of this Agreement is invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of these Terms and Conditions and those provisions shall remain in full force and effect and the invalid or unenforceable provision will be replaced with a valid and enforceable provision.

By accepting these Terms and Conditions, you guarantee that any Cryptocurrency or Fiat currency you use in connection with the Services is in your legal ownership and/or that you are duly authorized to perform transactions using these Cryptocurrencies or Fiat currencies.
